This role is a one-year fellowship with Techstars, the worldwide network that helps entrepreneurs succeed. Techstars’ in-house legal department is responsible for providing legal support for all Techstars divisions. The legal work is carried out in close cooperation with all other functions within the company and active participation in the day-to-day business of all Techstars global legal entities.
During the one-year fellowship program, the fellow will have the opportunity to build deep relationships and connections within the Techstars network, including with managing directors, program managers, and portfolio companies participating in accelerator programs; with outside counsel representing Techstars and companies in which we are investing; and with our team worldwide. The fellow will gain broad exposure to the fundamentals of corporate governance, equity and debt financings, M&A, and outside counsel management in domestic and international jurisdictions.
Learn the Techstars accelerator model and work side by side with a senior member of the legal team to contract with the companies in an Accelerator Program.
Draft and negotiate Stock Purchase Agreements, Convertible Equity Agreements, Convertible Notes, SAFE-like instruments and other early stage financing documents for US and international companies.
Conduct due diligence on US and international companies selected to participate in a Techstars Accelerator program, including diligence around capitalization, entity formation and intellectual property issues.
Implement the pre-program set up for the legal onboarding of Accelerator program participants, including review of commercial corporate partner contracts for US Accelerator Programs.
Run legal kick-off calls for Accelerator programs with partnerships liaison, program manager, and managing director.
Manage portfolio follow-on financings, including cap table confirmation and review of financing agreements.
Review and advise on stockholder consents, M&A agreements, and dissolution documentation for US and international portfolio companies.
Work closely with Techstars’ outside counsel for US and international financings.
Must have a law degree from a recognized university.
Must be admitted to a recognized bar.
Must be willing to relocate to Boulder/Denver Colorado.
Experience within a law firm corporate transactions department preferred.
Demonstrated understanding of start-up company corporate documents and venture capital financings.
Tech-savvy, high energy, and able to work independently.
Attention to detail and excellent written and oral communication.
Compensation range: $70,000 + $5,000 Bonus
