Titled internally as an Associate Director, Deal Intake – this early career Associate Attorney M&A role includes the following summary:
The M&A Transactional Group is comprised of attorneys that draft, review, negotiate and finalize engagement documentation for the shareholder representative and escrow & payments business lines.
The Associate Director position (also referred to generally as “M&A Counsel”) requires experienced attorneys who demonstrate a strong and diverse set of skills that make them effective deal lawyers.
are assigned to work on deals on which SRS Acquiom is engaged to provide shareholder representative or Acquiom financial services (“Deals”);
coordinate with other relevant SRS Acquiom staff and the client and their counsel;
review, negotiate and finalize Deal documents in accordance with SRS Acquiom approved procedures; and
otherwise shepherd Deals up to and through the closing of such Deal.
M&A Counsel also provide support to SRS Acquiom Business Development Representatives (“BD Reps”), Relationship Managers (“RMs”), Relationship Associates (“RAs”) and other staff as appropriate, including coordination of escalations to the Managing Director, General Counsel, Operations and Product.
M&A Counsel work at our office in Denver, CO and report to the Managing Director, Deal Intake.
Primary responsibility for a pro rata share of Deals.
Coordinate with the Deal team (BD Reps, RMs and RAs) and facilitate escalations of compromises or unique responsibilities on Deals.
Interface with Deal clients and their counsel.
Review, negotiate and finalize Deal documents (acquisition agreements, SRS engagement letters, escrow agreements, paying agent agreements, non-disclosure agreements and other related transactional agreements).
Maintain expertise of M&A market terms and complete knowledge of SRS Acquiom’s approved procedures and guidance for Deal documents.
Assist with maintaining and updating Intake procedures and training new Intake attorneys.
Other duties as assigned.
Currently this role is remote due to pandemic but headquartered in Denver, CO. The base pay range for this position is $105K-$115K depending on level of experience.
Required Qualifications & Skills:
J.D. from a nationally ranked, accredited law school and strong academic credentials.
Licensed to practice law in at least one state (preferably Colorado).
Requisite years of transactional legal experience, which is an average of 1-4 years for the Associate position.
Excellent, prompt and friendly customer service and communication skills.
Strong attention to detail and ability to manage multiple, dynamic projects/Deals.
Ability to meet demanding deadlines and solve problems when unexpected issues arise.
Strong work ethic with a positive attitude and an enthusiasm for working on Deals.
Ability to quickly yet carefully review and understand complex agreements.
Operates with highest integrity and attention to detail

Ability to prioritize and multi-task across many projects
